What You Can Expect

Reporting to the CFO, the Vice President, Legal & Compliance acts as a key strategic advisor to the organization, advising on legal and regulatory matters, managing risk (including West Star’s insurance portfolio), ensuring compliance with laws and regulations and contributing to the overall business strategy. Key responsibilities include management of the portfolio of insurance products, contract negotiation, policy development, and handling litigation and compliance issues.

Key Responsibilities:

• Draft, review, and negotiate a wide range of contracts, policies, and procedures (including management of the Company’s contract repository, ContractSafe)
• Manage and resolve business disputes, including litigation and arbitration
• Provide legal counsel to senior management on corporate strategies and implementation
• Manage the Company’s insurance program, including renewal, claims and litigation
• Advise on regulatory issues and risk management strategies (ITAR, OFAC, import/export)
• Collaborate with outside counsel, particularly on M&A and litigation, as necessary
• Assist with mergers, acquisitions, and other corporate transactions, as necessary
• Assist Sales & Quoting departments with Terms & Conditions review/edits/updates
• General corporate governance

What you’ll need to bring with you:

Your Education and Experience:

• Juris Doctor (JD) from an accredited U.S. law school
• Membership in good standing with a state bar association
• 5+ years of legal practice experience, preferably in corporate/commercial/contracting
• Proficiency in drafting and reviewing legal documents
• Experience with private equity-backed portfolio companies will be an advantage
• Experience with a production/job shop manufacturing environment with multiple operating units is preferred
• Experience in risk management and mitigation

Strong Microsoft Office Suite experience, specifically Outlook, Word and PowerPoint

Service minded approach to work; interested in collaborating closely with various leaders to drive initiatives
Strong communication skills with the ability to interact verbally and electronically with West Star team members, the Board of Directors, third party advisors, and others to clearly articulate issues, questions, and resolutions

This position generally ranges from $225,000 to $240,000 salary. Actual salary will vary and may be above or below the range based on various factors including but not limited to location, experience, and performance. Additional compensation in the form of a shift differential provided if the employee is assigned to an alternate shift. The range listed is just one component of the total compensation package for employees. Other forms of compensation include a semiannual discretionary bonus based on performance, as well as health insurance coverage, an employee wellness program, life and disability insurance, a retirement savings plan, paid holidays and paid vacation.
